These Interim Terms & Conditions ("Terms") govern access to and use of the ionava platform and related services (the "Platform"). These Terms are intentionally limited in scope and reflect ionava’s current operations as an early-stage platform. They will evolve as ionava’s products, features, and regulatory posture develop.
By accessing or using the Platform, you acknowledge and agree to these Terms.
Acceptance of Terms
BY CLICKING "I AGREE," CHECKING A BOX INDICATING ACCEPTANCE, CREATING AN ACCOUNT, PROVIDING AN EMAIL ADDRESS, ACCESSING THE PLATFORM, OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT, ACCESS THE PLATFORM, OR USE THE SERVICES.
If you are accepting these Terms on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.
1. Nature of the Platform
ionava operates a financial platform designed around health and wellness. ionava is not health insurance, does not provide medical coverage, does not process insurance claims, and does not make medical or treatment decisions.
ionava does not act as a healthcare provider, insurer, or medical decision-maker. Nothing in these Terms creates an insurer–insured relationship, a healthcare provider–patient relationship, or any form of medical authority.
2. Account Creation and Communications
Creation of an account does not guarantee eligibility, participation, acceptance, continued access, or availability of any particular Platform feature, program, or offering.
By submitting your email address, creating a login, beginning an onboarding process, joining a waitlist, applying for participation, or otherwise providing information through the Platform, you create an ionava account and agree to these Terms.
You represent that the email address and contact information you provide are accurate and belong to you or that you are authorized to use them.
You consent to receive communications from ionava regarding your account, onboarding status, eligibility reviews, platform updates, security notices, transactional communications, and other information related to the Platform. Such communications may be delivered by email, text message, in-platform notification, or other methods permitted by law.
You may opt out of promotional or marketing communications at any time, but ionava may continue to send communications necessary to administer your account, comply with legal obligations, protect the security of the Platform, or provide information regarding your participation.
By creating an account or using the Platform, you consent to receive records, disclosures, notices, and communications electronically.
3. Vault Reservation and Future Enrollment
ionava may offer users the opportunity to reserve participation in a future Vault program, membership, offering, or eligibility pathway prior to general availability.
As part of a reservation process, users may be asked to provide payment information, including a payment method, to establish eligibility for future enrollment, preserve pricing, establish a vesting period, or participate in future program availability.
Unless expressly disclosed otherwise at the time of reservation, providing payment information does not itself constitute activation of a Vault membership, enrollment in a program, acceptance into participation, or a charge to the payment method provided.
The payment method provided may be stored by Ionava or its authorized payment processor for future enrollment, activation, billing, payment authorization, account administration, or related operational purposes associated with a reserved Vault offering.
Additional terms, pricing details, eligibility requirements, activation procedures, billing disclosures, and program-specific conditions may be provided before any Vault membership, subscription, or program becomes active.
4. Identity Verification and Third-Party Information Authorization
To protect the integrity of the Platform, verify user identity, prevent fraud, evaluate eligibility, comply with legal obligations, and maintain platform security, ionava may request, collect, verify, or receive information from you and from third-party sources, subject to applicable law and any required authorizations.
Refusal to provide requested information, authorizations, or verification materials may result in delayed processing, restricted functionality, denial of participation, suspension of access, or termination of an account.
By creating an account, beginning an onboarding process, applying for participation, or otherwise using the Platform, you authorize ionava to verify information you provide and, where permitted by law and authorized by you, to obtain, review, or receive information from third parties for identity verification, fraud prevention, account validation, eligibility assessment, security monitoring, and related operational purposes.
Such third-party sources may include identity-verification providers, financial institutions, account-validation services, consumer-reporting agencies, public records, health-related information verification providers, and other service providers engaged by ionava.
ionava may rely on information obtained from these sources when evaluating applications, validating user information, investigating discrepancies, protecting against fraud, maintaining platform security, or administering participation in the Platform.
Nothing in this section authorizes ionava to make medical decisions, provide medical advice, or evaluate medical treatment. Any information obtained through these processes is used solely for operational, verification, security, eligibility, compliance, and administrative purposes.
5. Eligibility and Discretionary Participation
Access to and participation in the Platform are discretionary and limited. ionava may establish eligibility criteria, participation requirements, or onboarding processes at its sole discretion.
ionava is not obligated to accept any applicant, to continue offering access to any user, or to make the Platform available on a continuous or uninterrupted basis.
Eligibility determinations may rely on user-provided information and information obtained with user authorization from third parties. Participation decisions are not medical determinations and do not evaluate medical necessity.
6. User Autonomy and Responsibility
Users retain full autonomy over their healthcare choices and decisions. ionava does not recommend, approve, deny, or evaluate medical care, providers, or treatment pathways.
Users are solely responsible for:
- Their healthcare decisions
- The accuracy of information they provide
- How they choose to use any user-controlled funds made available through the Platform

ionava is a financial platform designed around health and wellness. ionava is not a healthcare provider, does not provide medical advice, does not provide medical treatment, and does not make healthcare decisions on behalf of users.
Users remain solely responsible for their healthcare decisions and for obtaining appropriate medical care from qualified healthcare professionals.
Minors Disclaimer
The Platform is intended only for individuals who are at least eighteen (18) years old, or such higher minimum age as ionava may establish for particular products or participation programs. Individuals under eighteen (18) may not create accounts or use the Platform.
7. User-Controlled Funds and Platform Conditions
The Platform may enable access to user-controlled financial resources intended for health- and wellness-related expenses, subject to defined conditions, rules, and limitations communicated through the Platform.
ionava does not guarantee that funds will be sufficient for any particular expense, outcome, or event. Availability, structure, and conditions of user-controlled funds may change over time.
ionava does not control providers, pricing, or outcomes related to healthcare or wellness services.
8. Platform Relationship Disclosure
No Insurance; No Guarantees
ionava does not provide insurance of any kind and does not guarantee:
- Access to healthcare services
- Payment of medical expenses
- Specific health, financial, or wellness outcomes
Use of the Platform involves personal, financial, and health-related considerations and carries inherent risk. Users assume responsibility for assessing whether the Platform aligns with their individual circumstances.
Not a Healthcare Provider
ionava does not provide healthcare services and does not employ healthcare providers to deliver medical care through the Platform. Any healthcare, wellness, laboratory, pharmacy, or other third-party services utilized by a user are provided solely by those independent third parties, who remain responsible for their own services and professional obligations.
9. Platform Evolution and Modifications
ionava is an evolving platform. Features, processes, eligibility criteria, and operational practices may change, be suspended, or discontinued at any time.
ionava may update these Terms periodically. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
10. Privacy and Data Practices
ionava’s collection and use of personal, financial, and health-related information are governed by its Privacy Policy, which describes ionava’s current data practices. These Terms do not expand or modify ionava’s data-use commitments.
ionava may provide onboarding results, account status updates, Health Score and Onboarding-related information, eligibility communications, and other informational notices through email, the Platform, or other communication channels. Such communications are informational only and do not constitute medical advice, medical diagnosis, or treatment recommendations.
11. Limitation of Liability
To the maximum extent permitted by law, ionava shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to use of the Platform.
ionava’s total liability, if any, shall be limited to amounts paid directly to ionava by the user during the twelve (12) months preceding the event giving rise to the claim.
12. Account Suspension / Termination
ionava may suspend, restrict, terminate, or revoke access to the Platform at any time, with or without notice, if ionava believes such action is necessary to protect the Platform, comply with legal obligations, investigate suspected misuse, address inaccurate information, or otherwise protect ionava, its users, or third parties.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration on an individual basis, unless prohibited by law. Users waive the right to participate in class actions or representative proceedings.
14. Acknowledgment of Interim Status
These Terms are interim and reflect ionava’s current operations and risk posture as an early-stage platform. They are not intended to address all possible regulatory, operational, or legal considerations and will be revised as the Platform matures.
